Ercros to Purchase Chemicals Division of Grupo Uralita

In accordance with the provisions of article 82 of the Spanish Securities Market Act (Ley del Mercado de Valores), and further to the announcement of the important event sent on 5 April 2005, Ercros S.A. hereby wishes to communicate the following:

Today Ercros presented Grupo Uralita with a binding offer for its Chemicals Division comprising 100% of the shares of Aragonesas Industrias y Energía, S.A., Aiscondel, S.A. and Aragonesas Delsa, S.A., and 24% of the shares of Sal Doméstica, S.A..

The offer was accepted by Grupo Uralita on the same date.
